Introduction
These Terms & Conditions (hereinafter referred to as “Agreement”) govern your participation in the Foodiv Partnership Program (hereinafter referred to as “Program”). By participating in the Program, you agree to comply with and be bound by these terms, which constitute a legally binding agreement between you (hereinafter referred to as “Partner”) and Foodiv, the online food ordering system (hereinafter referred to as “Foodiv”).
Eligibility
To become a Partner in the Foodiv Partnership Program, you must meet the following eligibility criteria:
- You must be 18 years of age or above
- You must have a valid identity proof & bank account
- You must not be engaged with any of our competitors directly or indirectly
Program Benefits
As a Foodiv Partner, you will be entitled to the following benefits:
- You will be eligible to receive commissions according to the terms outlined in your agreement with Foodiv. Commissions will be calculated based on the full and verified payments made by subscribed restaurants that have registered on our platform.
- You will also earn commissions when the paid subscribed restaurants registered under your account renew their subscriptions
- Commissions will initially appear as pending for a 15-day period, after which they will be visible in your account balance.
- You can make a withdrawal of your commissions when your account balance (excluding pending status) reaches 1000 INR for partners in India or 100 USD for partners located outside India.
- If a subscribed restaurant is refunded for any reason, the Partner will not be entitled to any commissions for the registration or renewal.
- Partners will not be eligible to earn commissions on any of the amounts paid by restaurants for change requests or customization
- If a restaurant discontinues its subscription and subsequently rejoins our platform directly then Partners will not qualify for any commissions related to their re-registration or renewals.
- Marketing support to promote your business on the Foodiv platform.
- Access to Foodiv’s customer support
Partner Responsibilities
- Accurate Information: Partners are responsible for providing accurate and up-to-date information about the restaurants they onboard including contact details and address details.
- Communication: Partners are responsible for effective communication with registered restaurant accounts they have created. Partners to communicate this to the Foodiv support team to address any issues, inquiries, or complaints promptly.
- Menu Management: Partners should regularly update their accounts (restaurants) menus items, prices, and availability on the Foodiv platform.
Intellectual Property Rights
Ownership: The Software, including all its components, code, and associated materials, is the intellectual property of [Foodiv] (hereinafter referred to as “Company”) and is protected by copyright and other applicable intellectual property laws.
Restrictions: User agrees not to, and not to allow any third party to:
- Copy, distribute, reproduce, or create derivative works from the Software.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
- Transfer, sublicense, or assign their rights under this partnership program to any other party without the prior written consent of the Company.
- Use the Software for any unlawful, unethical, or unauthorized purposes.
Ownership of Modifications: Any modifications, enhancements, or improvements made/suggested to the Software remain the property of the Company. Partner agrees to assign and does hereby assign to the Company all rights, title, and interest in and to such modifications.
Confidentiality
Partners shall treat all information provided by Foodiv as confidential and shall not disclose or use such information for any purpose other than to fulfill their obligations under this Agreement.
Termination
- Either party may terminate this Agreement with written notice.
- Foodiv reserves the right to terminate this Agreement immediately if the Partner violates any terms of this Agreement or engages in any unlawful activities.
- Upon termination, the Partner agrees to remove all Foodiv branding and cease using Foodiv’s platform.
Liability
Foodiv is not liable for any damages, losses, or liabilities arising from the Partner’s participation in the Program. The Partner is responsible for their own business operations and compliance with local laws and regulations.
Amendments
Foodiv reserves the right to amend these Terms & Conditions at any time. Partners will be notified of any changes, and it is their responsibility to review and accept the updated terms.
Governing Law
This Agreement is governed by the laws of the jurisdiction from Gandhinagar, Gujarat, India
Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties.
By participating in the Foodiv Partnership Program, you acknowledge that you have read, understood, and agree to abide by these Terms & Conditions. If you do not agree with any part of these terms, you should not participate in the Program.
